General terms and conditions for the coworking space "Innergarden".

§ 1 General
Scope: These terms apply exclusively to coworking services. If combined with other services, the respective terms apply; in case of conflict, the more specific provision prevails.
Innergarden offers workstations within an office infrastructure. Bookings are made via tickets, memberships, or single bookings depending on the product.
These terms apply to all agreements between the provider and the user. User terms are excluded.
Users may be natural or legal persons. A legal person may arrange use for changing employees and must provide names and addresses to the provider.
§ 2 Provider services
The provider supplies a workstation at Burdastraße 23, Schutterwald, including Internet access (LAN and Wi-Fi) and the services listed in § 5(1).
A workstation includes a desk (standard or height-adjustable), office chair, central printer, power connection, and LAN/Wi-Fi access.
The provider offers 24/7/365 access to the workstation.
§ 3 Contract and payments
The following rules apply unless otherwise agreed.
- 1. Contracting parties & use: Parties must be at least 18 years old. Usage rights are personal and not transferable.
- 2. Start and term: a) Day ticket: Day Rhythm (08:00–17:00) or Full Rhythm (24 hours). Ends automatically after time expires. b) Nomad Twelve Flex (rolling): 12 usage days per contract month; auto-renewal unless cancelled. c) Monthly/Annual ticket (calendar model): synchronized to the 1st or 15th; minimum term at least one month; auto-renewal.
- 3. Cancellation: Day ticket has no cancellation. Nomad Twelve Flex: 14 days before end of the contract month. Monthly ticket: 14 days before end of billing period (15th or month end). Annual ticket: 3 months before end.
- 4. Contract conclusion: The contract is concluded by written confirmation (e.g., email) from the provider.
- 5. Acceptance of terms: By concluding the contract the user accepts these terms.
- 6. Data accuracy: The user confirms that personal data is complete and accurate and must notify changes. False data may result in immediate termination and damages through the hypothetical end of term.
- 7. Payment terms: Day ticket / Nomad Flex due immediately. Monthly/Annual tickets: pro-rated fee at start; first full monthly rate and subsequent payments due in advance by the 3rd working day of the new billing period (3rd or 18th). If the 3rd working day falls on a public holiday, payment is due on the next working day.
- 8. Right to refuse: The provider may refuse to enter into a contract without stating reasons.
§ 4 Termination
- Deadlines: Cancellation periods depend on the chosen tariff (see § 3). If none, 14 days to month end applies for open-ended contracts.
- Form: All terminations must be in text form (e.g., email, letter). Receipt determines compliance.
- Ordinary termination: Either party may terminate without cause within the agreed period.
- Extraordinary termination: Both parties retain the right to terminate for cause. Cause includes arrears of two monthly fees, persistent breach of house rules, or serious disruption. In such case, access may be revoked immediately and prepaid fees retained.
§ 5 Tariffs, prices and scope
Prices: The prices published on https://innergarden.community or in the booking system apply. All prices include statutory VAT unless expressly stated otherwise.
- a. Day ticket (Day Pass): Day Rhythm or Full Rhythm. Use of an available flex desk. Clean Desk applies.
- b. Nomad Twelve Flex (12-pass): Day Rhythm or Full Rhythm. 12 usage days per month; unused days expire. Clean Desk applies daily.
- c. Flex Desk (monthly): Day Rhythm or Full Rhythm. Unlimited use of a flex desk. Clean Desk applies; personal items may not remain permanently.
- d. Dedicated Desk (fixed): Full Rhythm only. Assigned desk with monitor, keyboard, mouse, and docking station (subject to availability). Items may remain on the desk.
- e. Add-on services: Additional services are bookable separately unless included.
§ 6 Use and house rules
- Purpose: Workstations may be used only for office-related activities. Changes require prior written consent. Commercial activity only for the company listed in the contract.
- House rules: Users must be considerate; noise and odors must be avoided. Instructions from the provider and staff must be followed.
- Safety: Entrance and passage doors must remain closed. Smoking is prohibited throughout the building and property, except designated outdoor areas. Open flames and powerful kitchen appliances are prohibited.
- Personal devices: No personal coffee machines, kettles, heaters, microwaves, or similar high-power devices. Users are liable for related damages.
- Identity & access: Access media are issued only after the first payment and identity verification. A copy or the necessary ID data is stored for security for the contract term and deleted upon return; details are in the privacy policy.
- Cleanliness: Day ticket and Nomad Flex users must clear their desk daily. Kitchen must be left clean; dishes to the dishwasher; waste must be sorted.
- Parking: Two marked spaces are available; otherwise use public parking. Reserved spaces and emergency routes must remain clear.
- Pets: Not permitted per building owner rules.
- Alterations: No changes to furnishings or technical modifications are permitted.
- Third parties & guests: Access media may not be given to third parties; subletting is prohibited. Guests for work are only allowed with prior registration; short client visits are allowed.
§ 7 Internet use & indemnity
- Legality: Users must comply with all laws when using the Internet.
- Prohibited activities: Immoral, pornographic, threatening or hateful content; copyright infringement; spam or malware distribution.
- Indemnity: In case of culpable breach, the user must compensate the provider and indemnify against third-party claims.
§ 8 Data protection
Personal data required for contract performance is stored and treated confidentially.
§ 9 Liability and warranty
- Liability: The provider is liable for intent and gross negligence. For slight negligence, liability is limited to foreseeable, typical damages and only for breaches of essential contractual obligations; liability for injury to life, body, or health remains unaffected.
- Exceptions: Liability under product liability law and in cases of fraud remains unaffected.
- Exclusions: No liability for force majeure, strikes, or technical failures; no liability for loss or damage of brought-in items.
- Condition: The user acknowledges the workstation is provided in a contractually compliant condition; defects must be reported immediately.
§ 10 End of use
- Return: The workstation and equipment must be returned clean and in good condition.
- Keys: All keys or transponders must be returned. Loss or non-return is chargeable.
- Left items: Items left after contract end are removed and disposed of after written notice and a 7-day period at the user's expense.
§ 11 Final provisions
- Right to amend: The provider may update these terms for valid reasons (e.g., legal changes or service adjustments). Users will be notified in text form; material changes allow objection or termination within a reasonable period.
- Immediate termination: Causes include arrears of two monthly fees (annual: arrears of the annual fee), serious breaches of house rules, transfer to third parties, or illegal use.
- Severability: If a clause is invalid, the remaining provisions remain effective; a valid clause closest to the economic intent replaces it.
- Governing law: German law applies.
- Place of performance and jurisdiction: Place of performance is Schutterwald. Jurisdiction for merchants is, where permitted, the provider's registered office.
